GildLuxe Terms of Service

1. Who we are and who these terms cover

These terms are an agreement between you and Chima Obinna, doing business as GildLuxe, of 9718 Oxbridge Way, Bowie, Maryland 20721, United States ("GildLuxe", "we", "us"). By creating an account or using GildLuxe, you agree to them.

GildLuxe is software that caterers and event businesses use to run their events: inquiries, proposals, agreements, invoices, payments, vendor coordination and a public business page. It is available at gildluxe.com, app.gildluxe.com and business pages hosted by GildLuxe, such as app.gildluxe.com/p/yourbusiness or yourbusiness.gildluxe.com.

These terms apply to:

  • Businesses that subscribe to GildLuxe, and the owners, managers and staff who use it for them ("you").
  • Clients, guests, vendors and visitors who use a business's inquiry form, business page, QR code or client portal. Section 9 covers what applies to them.

If you accept these terms for a business, you confirm you are allowed to bind that business, and "you" includes it.

Our Privacy Policy explains how we handle personal information and forms part of these terms.

Effective date: October 19, 2026.

2. Accounts

  • Who can sign up. GildLuxe is for businesses. You must be at least 18 and able to form a binding contract. Accounts are opened with an invite code from us, and sign-up is by invitation.
  • Owners and staff. The account owner controls the business's account, decides who else can use it and which role each person has, and is responsible for what staff do in it.
  • Sign-in. GildLuxe signs you in with a one-time link or code sent by email. Keep your email account secure, and tell us at support@gildluxe.com straight away if you think someone else has got into your GildLuxe account.
  • Accurate details. Keep your business name, contact details, and payment settings accurate and up to date.

3. What GildLuxe does and does not do

GildLuxe provides software. We are not a caterer, event planner, venue or vendor, and we are not a party to any agreement between a business and its clients or vendors.

  • Your business, your contracts. You decide your prices, packages, menus, deposits, cancellation and refund terms, and the wording of your agreements. You are responsible for delivering what you sell and for meeting the laws that apply to your business, including food safety, licensing, alcohol service, tax and consumer protection.
  • Templates are a starting point. Any sample agreement, menu, checklist or tradition guidance in GildLuxe is general information, not legal, tax or professional advice. Review it before you rely on it.
  • Calculations. GildLuxe calculates totals, taxes, service charges and payment schedules from the settings you enter. Check them before you send them to a client.

4. Payments through Stripe

Client payments in GildLuxe are processed by Stripe. Your business is the seller: payments go to your own Stripe account, and GildLuxe takes no percentage of them.

  • Stripe's terms. Payment processing services for businesses on GildLuxe are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By agreeing to these terms or continuing to take payments through GildLuxe, you agree to be bound by Stripe's terms, as Stripe may change them. You agree to give GildLuxe accurate and complete information about you and your business, and you authorize GildLuxe to share it, and transaction information about your use of Stripe, with Stripe.
  • Fees. Stripe charges its own processing fees, which come out of your payments. Your Stripe account shows them.
  • Refunds and disputes. You decide refunds under your own terms with your client, and you handle chargebacks and disputes with Stripe. GildLuxe does not hold your money and cannot reverse a payment.
  • Payouts. Stripe pays out to your bank account on its own schedule. Stripe, not GildLuxe, can delay or hold payouts under its terms.
  • Payments outside GildLuxe. If you record a cash, check or bank payment in GildLuxe, it is a record only. We do not verify it.

5. Agreements and e-signatures through BoldSign

GildLuxe sends agreements for electronic signature through BoldSign. Signers agree to sign electronically, and BoldSign keeps an audit trail of each signature.

  • You are responsible for the content of every agreement you send, and for whether it is enforceable where you do business.
  • GildLuxe stores a copy of each signed agreement in your account. Keep your own copy of anything you need to retain for legal or tax reasons.

6. Subscription fees

GildLuxe is a monthly subscription, billed in advance. The price is shown when you sign up and on your billing page.

  • Price. $149 per month, plus any sales tax that applies. Founding businesses keep a price of $99 per month for as long as their subscription stays active.
  • Pilot and free periods. If we give you free or discounted access, for a pilot or a trial, we will tell you in writing when it ends and what the price will be after. You will not be charged until you add a payment method and agree to that price.
  • Billing. Your card is charged on the same day each month. If a payment fails, we will email you and try again. If it still has not been paid after 14 days, we may limit your account to read-only until it is.
  • Price changes. We will give you at least 30 days' notice by email before a price change affects you. You can cancel before it takes effect.
  • Cancelling. You can cancel at any time by emailing support@gildluxe.com or, once available, from your billing page. Your subscription runs to the end of the month you have paid for, and is not renewed after that. We do not give refunds for part months, unless the law requires it.
  • No fees on your clients. GildLuxe does not charge your clients or vendors anything.

7. Your content

You own what you put into GildLuxe: your business details, menus, packages, photos, agreements, and your client and event records ("your content").

  • Permission to run the service. You give GildLuxe permission to store, copy, process and display your content only as needed to provide GildLuxe to you, including publishing your business page and sending documents to the people you choose. This permission ends when your content is deleted, except for copies kept in backups for a short time or as the law requires.
  • Rights to what you upload. You confirm you have the right to use every photo, logo and piece of text you upload, and to put your clients' and vendors' information into GildLuxe. If photos show identifiable people, you are responsible for having their permission where it is needed.
  • Your business page. Once you publish your business page, anyone with the link can see it. You can edit or unpublish it at any time.
  • Removing content. We may remove content that breaks these terms or the law, or that we receive a valid legal complaint about. We will tell you when we do, unless the law stops us.
  • Feedback. If you send us ideas or suggestions, we may use them without owing you anything.
  • Our software. GildLuxe, its design, code and name belong to us. These terms give you the right to use GildLuxe while your subscription is active, not ownership of it.
  • Combined, de-identified data. We may use information about how GildLuxe is used, combined across businesses so that no business, client or guest can be identified, to improve GildLuxe, for example to improve the tradition library.

8. Acceptable use

You agree not to use GildLuxe to:

  • break the law, or help anyone else break it;
  • send spam or messages people have not asked for, or email clients or guests who did not give their details to your business;
  • upload content you do not have the rights to, or that is misleading, abusive or discriminatory;
  • collect payment for services you do not intend to provide;
  • get into another business's account or data, or test, probe or overload GildLuxe's systems;
  • copy, resell or rebuild GildLuxe, or scrape it with automated tools;
  • upload viruses or other harmful code.

If you do, we may suspend or close your account under section 11.

9. Clients, guests, vendors and visitors

If you use a business's inquiry form, business page, QR code, client portal or signing link, you are dealing with that business, not with GildLuxe.

  • Your agreement is with the business. Prices, menus, bookings, payments, refunds and the event itself are between you and the business. Questions or complaints about them go to the business.
  • Your information. What you send goes to that business. The Privacy Policy explains how GildLuxe handles it.
  • Fair use. Do not send false inquiries, impersonate anyone, or misuse the forms, pages or links. Sections 8, 10 and 12 apply to you as well.
  • Payments. When you pay a business through GildLuxe, Stripe processes the payment for the business, and the charge shows the business's name on your card statement.

10. Other services, availability and changes

  • Services we rely on. GildLuxe uses other companies to run, including Stripe for payments, BoldSign for e-signatures, Supabase for data storage, Vercel for hosting and Resend for email. We are not responsible for outages or errors in their services, though we will work to limit the effect on you.
  • Availability. We aim to keep GildLuxe running at all times but do not promise it will be uninterrupted or error-free. We may take it down for maintenance, and will try to do so outside busy hours and give notice of planned work.
  • Support. We provide support by email at support@gildluxe.com on business days.
  • Changes to GildLuxe. We improve GildLuxe often and may add, change or remove features. If we remove a feature you rely on in a way that substantially reduces what you pay for, we will tell you in advance, and you can cancel.

11. Ending your account

  • You can leave at any time. Cancel your subscription as described in section 6, or email support@gildluxe.com to close your account.
  • We can suspend or close an account if you seriously or repeatedly break these terms, do not pay, put other users or GildLuxe at risk, or if the law requires it. Where we can, we will warn you first and give you a chance to fix the problem. If we close your account without cause, we will refund any fees you paid for time you can no longer use.
  • Getting your data out. Before your account closes, or for 90 days after, you can ask us at support@gildluxe.com for a copy of your business's records.
  • Deletion. We delete your business's data within 90 days of your account closing, except what we must keep by law, such as payment records. Deleted data may stay in backups for up to 7 days.
  • What continues. Sections 3, 4 (for payments already made), 7, 12 and 13, and any fees you owe, continue after your account ends.

12. Disclaimers, limits on liability and indemnity

Disclaimer. GILDLUXE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not guarantee that GildLuxe will bring you inquiries or bookings, or that any client or vendor will perform.

Limit on liability. TO THE FULLEST EXTENT THE LAW ALLOWS:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BOOKINGS OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
  • OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO GILDLUXE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US$100.

These limits do not apply where the law does not allow them, such as for fraud or gross negligence.

Indemnity. If a business's client, vendor, guest or anyone else brings a claim against GildLuxe because of that business's services, events, contracts, content or breach of these terms, the business will cover GildLuxe's reasonable losses and costs, including legal fees. We will tell you promptly about the claim and let you take part in the defense.

13. Law, disputes, changes and contact

  • Governing law. Maryland law governs these terms, without regard to its conflict-of-law rules.
  • Disputes. Before starting a legal claim, email support@gildluxe.com and give us 30 days to try to resolve it informally. If that does not work, claims go to the state or federal courts in Prince George's County, Maryland, and both of us agree to their jurisdiction. Either of us may bring a claim in small claims court instead.
  • Changes to these terms. We may update these terms. For a significant change, we will email account owners at least 30 days before it takes effect. If you keep using GildLuxe after that, the new terms apply. If you do not agree, you can cancel before then.
  • General. These terms and the Privacy Policy are the whole agreement between us about GildLuxe. If a court finds part of them unenforceable, the rest still applies. Not enforcing a term straight away does not mean we give it up. You may not transfer these terms without our written consent; we may transfer them if GildLuxe is sold or moved to another company, and will tell you if we do. Neither of us is liable for delays caused by events outside our reasonable control.
  • Notices. We send notices to the account owner's email address. Send notices to us at support@gildluxe.com.
